Principal Business Types

Public Corporation
Limited Liability Company. Companies formed under the Canada Business Corporation Act may have one shareholder only with no minimum or maximum capital. Shares are freely transferable and shareholders are not liable for company debts. Companies not formed under this act are governed by their province and may vary from the above mentioned.

Private Corporation

General Partnership
Partners are jointly and severally liable for all debts of the partnership.

Limited Partnership
Made up of General Partners and limited partners. Limited Partners are not allowed to take any active part in the management of the business and their liability is restricted to their capital contribution.

Sole Proprietorship
Business of an individual who is liable for all debts.
